Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and USALocalConnect, Inc. ("USA Local Connect," "we," "us," or "our") governing your access to and use of the USA Local Connect website at usalocalconnect.com, our business website builder, directory, dashboards, and related services (collectively, the "Service").

By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Description of Service

USA Local Connect provides tools for local businesses to publish a professional web presence, appear in our directory, receive customer inquiries, and manage their online profile. Consumer users may search, browse, and contact businesses through the platform at no charge.

We may modify, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted availability.

4. Accounts and Security

• You must provide accurate, current, and complete registration information and keep it updated.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Notify us promptly at support@usalocalconnect.com if you suspect unauthorized access.

5. Subscriptions, Billing, and Refunds

Paid plans: Business subscriptions are billed in advance on a recurring basis through our payment processor (PayPal). By subscribing, you authorize us to charge your payment method at the then-current rate shown at checkout.

Renewals and cancellation: Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your account dashboard; cancellation stops future billing but does not retroactively refund the current billing period unless required by law.

Price changes: We may change subscription pricing with advance notice. Continued use after the effective date constitutes acceptance of the new price.

No lead commissions: USA Local Connect does not act as a transaction intermediary between businesses and customers. We do not charge booking fees, lead commissions, or revenue share on jobs completed through your website or profile unless explicitly stated in a separate written agreement.

6. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or third-party rights.
• Publish false, deceptive, or fraudulent business information, credentials, reviews, or pricing.
• Upload malware, scrape the Service without permission, or attempt to bypass security controls.
• Harass, spam, or solicit users in a manner that violates applicable anti-spam laws (including CAN-SPAM where applicable).
• Use the Service to discriminate unlawfully or publish content that is hateful, obscene, or infringing.

We may remove content or suspend accounts that violate these rules.

7. Your Content and License to Us

You retain ownership of content you submit (text, images, logos, business details, and other materials). You are solely responsible for ensuring you have the rights to use and publish that content.

By making content public through the Service, you grant USA Local Connect a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and distribute that content solely to operate, promote, and improve the Service (including displaying your business in search results and directory listings).

8. Customer Leads and Communications

Inquiries submitted through your USA Local Connect contact forms are delivered to you. You are responsible for how you respond to customers and for complying with applicable privacy, marketing, and consumer protection laws when contacting them.

9. Intellectual Property of USA Local Connect

The Service, including software, design, trademarks, and documentation, is owned by USALocalConnect, Inc. or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted, no license is granted to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

USA Local Connect is a platform provider. We do not endorse, guarantee, or control the quality, safety, legality, or performance of any business listed on the directory. Consumers should conduct their own due diligence before hiring a service provider.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USALOCALCONNECT, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless USALocalConnect, Inc. from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, your business operations, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or if continued provision poses legal or security risk. Upon termination, your right to access the Service ends. Provisions that by nature should survive (including payment obligations, disclaimers, limitations of liability, and indemnity) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

Before filing a formal dispute, you agree to contact us at support@usalocalconnect.com and attempt to resolve the matter informally within thirty (30) days.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. Material changes will be communicated by email or in-dashboard notice where appropriate. Continued use after the effective date constitutes acceptance.
